Apollo HealthCo Limited (AHL), a material subsidiary of Apollo Hospitals Enterprise Limited, has announced the acquisition of the software business operated by Searchlight Health Private Limited (SHPL).

Details of the Acquisition

The acquisition includes all intellectual property, improvements, related assets, liabilities, movable property, employees, contracts, and financial records. The transfer, valued at ₹67.5 crore, will be executed on a ‘going concern’ and ‘slump sale’ basis as per Section 2(42C) of the Income-tax Act, 1961.

The acquisition was formalised through a Business Transfer Agreement (BTA) signed on December 24, 2024, with the approval of the respective audit committees, boards of directors, and shareholders of both AHL and SHPL. This strategic move positions AHL to leverage the software capabilities of SHPL, which include advanced tools such as Personal Health Record (PHR), Health Information Exchange (HIE), Datalake, Clinical Cloud (CIE), L-HUB, and search functionalities.

Under the agreement, AHL will take over the operation of these software platforms along with all associated intellectual property and improvements. Additionally, all employees, contracts, books, and ledgers linked to the business will be integrated into AHL. The business transfer is expected to be completed on or before February 28, 2025.

This acquisition aligns with Apollo HealthCo’s broader strategy to enhance its technological ecosystem in healthcare, paving the way for more efficient data management and patient care services. By acquiring these advanced platforms, AHL is well-positioned to strengthen its digital health offerings and drive innovation in the Indian healthcare landscape.

On December 26, 2024, Apollo Hospitals share price opened at ₹7,272.20, touching the day’s high at ₹7,298.05, as of 10:07 AM on the NSE.
