Godrej Group is an Indian multinational conglomerate headquartered in Mumbai, Maharashtra, which is managed and largely owned by the Godrej family. It was founded by Ardeshir Godrej and Pirojsha Burjorji Godrej in 1897 and operates in sectors including real estate, consumer products, industrial engineering, appliances, furniture, security, and agricultural products. It’s subsidiaries and affiliated companies include Godrej Industries and its subsidiaries Godrej Consumer Products, Godrej Agrovet, and Godrej Properties, as well as the private holding company Godrej & Boyce Mfg. Co. Ltd.

Godrej Group Internal Restructuring 

The founding family members of the Godrej Group have recently come to an agreement to split the conglomerate, marking a significant development in its corporate history. According to the group’s announcement on April 30, this restructuring will see Adi Godrej and his brother Nadir retaining ownership of Godrej Industries, a pivotal entity within the group which encompasses five listed companies.

On the other hand, cousins Jamshyd and Smita will assume ownership of Godrej & Boyce and its affiliated entities, as well as a substantial land bank. This division reflects a strategic realignment within the family’s business interests, aiming to streamline operations and capitalize on each entity’s strengths.

Godrej Gets CCI Approval

On Tuesday, the Competition Commission of India (CCI) announced its approval of the internal realignment proposed within the Godrej Group. This realignment pertains to the restructuring of interests, legal ownership, and management across various entities within the Godrej Group. It is based on an inter-se arrangement between the family branches, namely the Adi Godrej and family (ABG Family), Nadir Godrej and family (NBG Family), Jamshyd Godrej and family (JNG Family), and Smita Crishna and family (SVC Family).

According to CCI’s release, this realignment is part of the Family Settlement Agreement (FSA) dated April 30, 2024, which was executed by the aforementioned family branches.
