JSW Cement, a prominent company under the Sajjan Jindal-led JSW Group, has taken a significant step towards raising capital by filing a draft red herring prospectus (DRHP) with the Securities and Exchange Board of India (SEBI). The company plans to raise Rs. 4,000 crore through an initial public offering (IPO).
The initial public offering is structured into two primary components: a fresh issue of equity shares worth Rs. 2,000 crore and an offer for sale (OFS) amounting to another Rs. 2,000 crore. The fresh issue will introduce new equity into the market, helping the company to raise the necessary funds directly from investors. Meanwhile, the OFS will allow existing shareholders to offload their stakes in the company.
Among the significant participants in the OFS are AP Asia Opportunistic Holdings Pte Ltd and Synergy Metals Investments Holding Ltd, each set to sell shares valued at Rs. 937.5 crore. Additionally, the State Bank of India (SBI) will divest shares worth Rs. 125 crore. This OFS component is a vital aspect of the IPO, as it provides liquidity to these key shareholders while allowing new investors to acquire a stake in JSW Cement.
JSW Cement intends to utilize Rs. 800 crore from the proceeds to partially finance a new integrated cement unit in Nagaur, Rajasthan. Another Rs. 720 crore will be allocated for the prepayment or repayment of existing borrowings. The remaining funds will be directed towards general corporate purposes, with a stipulation that this amount shall not exceed 25% of the gross proceeds.
