KPIT Technologies Limited (KPIT) recently announced significant progress in its joint venture with ZF Friedrichshafen AG (ZF), which aims to revolutionise the automotive middleware sector. This initiative, initially approved by KPIT’s Board of Directors on April 26, 2023, focuses on investing in Qorix GmbH, a subsidiary of KPIT Technologies. Qorix GmbH specialises in developing world-class automotive middleware stacks, essential components for the next generation of automotive software systems.

Following the initial approval, KPIT Technologies took decisive steps to advance the joint venture. On May 15, 2024, KPIT incorporated a wholly owned step-down subsidiary, Qorix India Private Limited (Qorix India), under the umbrella of Qorix GmbH after obtaining the necessary merger control approvals. This move aimed to bolster Qorix GmbH’s global presence and operational capabilities.

Further solidifying this partnership, on June 5, 2024, KPIT Technologies infused equity into Qorix GmbH and transferred relevant Intellectual Property Rights (IPRs) to the subsidiary in compliance with regulatory norms. This transfer was critical in ensuring that Qorix GmbH had the technological foundation required to innovate and lead in the automotive middleware space.

The latest development in this joint venture came with ZF Friedrichshafen AG’s capital infusion into Qorix GmbH. According to the terms of the JV Agreement, ZF invested Euro 1.35 million as an equity capital contribution, making Qorix GmbH a 50:50 joint venture between KPIT and ZF. This strategic equity investment strengthens Qorix GmbH’s financial base and emphasises both parties’ commitment to the joint venture.

Moreover, ZF Friedrichshafen AG is set to invest Euro 13.65 million further in the share premium and will shortly contribute its relevant intellectual property to Qorix GmbH. This substantial financial and intellectual investment highlights Qorix GmbH’s strategic importance in the automotive middleware sector.

KPIT Technologies clarified that its promoters, promoter groups, and group companies do not have any direct interest in Qorix GmbH. Additionally, none of the KPIT Technologies directors hold any personal interests in Qorix GmbH, ensuring an unbiased and focused approach to the joint venture’s goals.

Qorix GmbH operates within the automotive middleware products and solutions industry, a critical segment for advancing automotive technology. The objective of this acquisition and subsequent development is to promote, develop, and distribute open and scalable middleware products and platforms for the mobility ecosystem. By creating a robust middleware stack, Qorix GmbH aims to support the evolving needs of the automotive industry, enabling more efficient, connected, and autonomous vehicles.
