Nestlé India Limited has announced a significant development in its strategic partnership with Dr Reddy’s Laboratories Limited (DRL) through a recent stock exchange filing.

Following up on their previous communication dated April 25, 2024, the company has disclosed that it has acquired 49,000 equity shares, each with a nominal value of ₹10, in the newly formed joint venture company, Dr Reddy’s and Nestlé Health Science Limited. This acquisition takes Nestlé India’s stake in the joint venture (JV) to 49%, while DRL holds a 51% majority share.

The JV Company, Dr Reddy’s and Nestlé Health Science Limited, was officially incorporated on March 14, 2024, and has a paid-up share capital of ₹10,00,000. The joint venture is focused on the nutritional health solutions industry, covering a wide range of products, including vitamins, minerals, and health supplements. This strategic alliance strives to leverage the strengths and expertise of both companies to improve their presence in the nutraceuticals market.

The primary objective of this joint venture is to combine Nestlé Health Sciences’ global portfolio of nutritional health solutions with DRL’s established and robust commercial capabilities in India. This collaboration is expected to significantly bolster the market reach of their complementary nutraceutical products across various categories, including metabolic health, hospital nutrition, healthy ageing, general wellness, women’s health, and child nutrition.

By merging their resources, Nestlé India and DRL plan to expand their distribution and enhance their product offerings in both India and other agreed-upon territories. The venture will harness the global reputation of Nestlé Health Science and DRL’s strong local presence to cater to a growing consumer demand for high-quality nutritional and health products.

Nestlé India’s acquisition of the 49,000 equity shares from DRL was completed for a total consideration of ₹4,90,000. Post-acquisition, Nestlé India holds a 49% equity stake, while DRL maintains a 51% stake in the JV Company.

The newly incorporated JV Company will focus on delivering comprehensive solutions in nutritional health. Given that the JV is in its early stages, historical turnover or net worth details are not applicable.

Overall, this strategic joint venture marks a pivotal step in expanding both companies’ footprint in the nutraceuticals industry, with expectations for significant growth and market impact in the future.
