Tata Motors Share Price in Focus; Raises Iveco Group Offer to €14.40 Per Share

Tata Motors has increased its offer for Iveco Group N.V. from €14.10 to €14.40 per share, adding €0.30 to the amount payable for each share tendered. The revised price was announced on October 9 through TML CV Holdings B.V., the wholly owned subsidiary handling the offer.
The company has said that €14.40 is its best and final price and that it will not raise the offer further.
Offer Price Increased After Delay
The offeror said the increase was made after the takeover process took longer than expected. Obtaining prior authorisations in a few jurisdictions caused the delay in completing the offer.
The revised price includes dividends under the offer’s stated terms. Other terms and conditions remain unchanged, and shareholders who have already tendered their shares do not need to submit a new acceptance form to receive the revised price.
Revised Price Offers Premium Over Past Trading Levels
At €14.40 per share, the offer represents a 33.47% premium over Iveco’s official share price on July 17, 2025, the trading day before reports of a possible acquisition by Tata Motors emerged.
The revised price is also 26.87% above Iveco’s one-month volume-weighted average price before that date. The premiums rise to 27.57% for three months, 38.23% for six months and 67.98% for twelve months.
Maximum Offer Value Rises to €3.91 Billion
If all 271.2 million shares covered by the offer are tendered, the maximum amount payable will reach approximately €3.91 billion. This includes an additional €81.36 million resulting from the price increase.
TML CV Holdings B.V. has also entered into an €85 million credit facility with MUFG Bank to help fund the additional payment to shareholders.
